Competition Rules

Thank you for your interest in the WellWithAll Prize (the “Competition”), sponsored by WellWithAll Foundation (the “Competition Sponsor”) with platform support provided by Submittable. By participating in this Competition, you are eligible to receive various forms of recognition and a possible Award from the Competition Sponsor. These Rules (“RULES”) govern the Competition and are an extension of the Terms & Conditions (“TERMS”) for use of the website. Please read both carefully before participating.

SUBMISSION OF AN ENTRY INTO THIS COMPETITION CONSTITUTES FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THESE RULES AND THE TERMS. NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR TO RECEIVE AN AWARD.

1. Definitions

Application/Entry: A submission made by a Competitor in response to the Competition, including all attachments and inputs.

Competitor: An organization that meets the eligibility requirements and submits or proposes to submit an Entry.

Lead Organization: The single legal entity identified in an Entry that assumes legal and fiduciary responsibility for any Award funds.

Award: Any form of recognition or funding granted to Finalists and/or Awardees as set out in these RULES.

Awardee: A Competitor whose Entry is selected to receive Award funding.

Finalist: A Competitor whose Entry is selected to advance to the final stage of the Competition.

Loss: Any direct, indirect, special, incidental, or consequential liabilities, damages, claims, losses, costs, expenses, actions, demands, or suits, whether pecuniary or non-pecuniary.

2. Eligibility

Applications are open to any type of organization—nonprofit, for-profit, governmental, educational, tribal, or otherwise—based in the United States or U.S. Territories. Individuals may not apply as a Lead Organization. The Lead Organization must be in good legal and financial standing in its jurisdiction and must demonstrate the financial and organizational capacity to carry out the proposed project and appropriately manage an Award.

The Lead Organization must:

  • Be a single legal entity with full legal authority, direction, and control over grant funds and project implementation.
  • Be based and working in the United States or U.S. Territories.
  • Submit only one (1) application as the Lead Organization (though the same organization may serve as a partner on other applications, provided each proposes a separate, distinct solution).
  • Ensure all proposed projects serve and impact communities located within the United States or U.S. Territories.

Regional or location-specific branches of larger organizations, and departments or schools within a college/university, may each submit separately as Lead Organization, provided proposed solutions are separate and distinct and there is no overlap in team members.

3. Ineligible Parties

The following are not eligible to apply as Lead Organization or to serve as subgrantees, contractors, or collaborators:

  • Individuals (including entities that, from a tax perspective, have the tax status of an individual, such as single-member LLCs where the member is an individual).
  • Entities based outside the United States or U.S. Territories.
  • Employees, officers, or board members of the Competition Sponsor, Submittable, or any of their subsidiaries and affiliates, and their immediate family members (spouse, parent, child, grandchild, sibling, and their respective spouses, regardless of where they live) or persons living in the same household.

4. Awards

Awards will be granted as follows:

  • 1st Place: $500,000
  • 2nd Place: $300,000
  • 3rd Place: $200,000

No purchase or payment is necessary to enter or to receive an Award. The Competition Sponsor reserves the right to make no Awards or to alter Award amounts at its sole discretion. Any Award is contingent on the Awardee entering into a grant agreement with the Competition Sponsor.

5. Prohibited Use of Award Funds

Award funds must be used for the project for which they are intended. Funds may be dispersed to partners for project-related purposes. Award funds may not be used:

  • For non-charitable purposes.
  • To discriminate in services to individuals or groups on the basis of age, disability, religion, veteran status, race, creed, sexual orientation, gender, gender identity, or national origin.
  • To influence the outcome of any public election or to carry on any voter registration drive.
  • To carry on propaganda or otherwise attempt to influence legislation.
  • To distribute funds to any organization not related to the proposal, or to make an award to any individual for travel, study, or similar purposes.
  • For the creation of any endowment or aggregation of philanthropic capital by organizations that regrant to nonprofits.
  • For the creation of a venture capital fund or pooled funds to invest in or distribute to for-profit organizations.
  • For loans or microloans to individuals, nonprofit, or for-profit entities.
  • To fund general operating support for the Lead Organization and/or any partners.
  • To fund political organizations (501(c)(4) organizations and 527s).
  • For capital campaigns, including construction of new sites or buildings.
  • For government services.

6. Indirect Costs

While general operating support is not permitted, the Competition Sponsor recognizes that Applicants may have overhead costs that are not directly attributable to the proposed project but are necessary for implementation. Indirect costs will be considered up to a maximum of 15% of direct project or activity costs. Any indirect costs must be accounted for in the budget included in the application. Portions of salaries and similar costs allocated directly to implementation of the proposed solution are eligible as their own line items.

7. Collaborations

Eligible Lead Organizations are welcome to collaborate with other organizations—nonprofits, companies, foundations, schools, government agencies, and other U.S.-based entities—to implement the proposed project.

Teams comprising more than one organization must demonstrate, through a fully executed Memorandum of Understanding (MOU) or similar agreement signed by all parties, that a single eligible Lead Organization will serve as the Awardee and will have direction, control, and supervision of the project and all Award funds. MOUs are not required at the initial application stage but may be requested from teams selected as Finalists.

8. Intellectual Property

Each application should reflect the anticipated ownership, use, and licensing of any intellectual property. You represent and warrant that your Entry is an original work created solely by you, that you own all intellectual property in and to the Entry, and that no other party has any right, title, claim, or interest in the Entry except as expressly disclosed in writing.

You retain all right, title, and interest in any inventions, software, or works of authorship you create. The Competition Sponsor does not acquire ownership of your intellectual property through this Competition. However, by submitting an Entry, you grant the Competition Sponsor a perpetual, transferable, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, publish, distribute, display, and create derivative works from your Entry for purposes of the Competition and the Competition Sponsor’s charitable activities.

To the extent permitted by law, you irrevocably agree that the Competition Sponsor may use your name, likeness, and biographical information for advertising, marketing, and public relations purposes related to the Competition. Applications will not be returned; please retain a copy.

9. Selection Process

Step 1 – Administrative/Eligibility Review

All submitted Entries undergo an administrative review to confirm compliance with eligibility requirements. Entries that do not meet requirements will be disqualified.

Step 2 – Selection Committee Review

All eligible Entries proceed to review by a Selection Committee. Each Entry is assessed by each Committee member, assigned randomly or with consideration of conflicts of interest. Entries are ranked based on evaluation scores.

Step 3 – Finalists and Awards

Up to ten (10) top Applicants may be named as Finalists. Following a Demo Day presentation to be held in fall 2026 in Boston, MA, 1st, 2nd, and 3rd place Awardees will be selected. The Competition Sponsor will make final determinations at its sole discretion, and may apply considerations beyond Selection Committee scores. By participating, you agree to be bound by the Competition Sponsor’s final decision.

10. Other Rules

10.1 Your Entry must be in English.

10.2 The individual submitting the Entry must be at least 18 years of age and duly authorized to bind the Lead Organization.

10.3 You may not reside in or be governed by a country prohibited from entering into trade relations with the United States under applicable law.

10.4 Entries must not contain obscene, defamatory, or otherwise objectionable content. The Competition Sponsor reserves the right to disqualify any Entry or Competitor at its sole discretion.

10.5 Each organization may submit at most one (1) Entry as Lead Organization.

10.6 By submitting an Entry, you represent and warrant that: (a) you are the sole author and owner of the Entry; (b) the Entry is not the subject of any actual or threatened litigation; (c) the Entry does not infringe upon the intellectual property, privacy, or other legal rights of any third party; (d) the Entry contains no malicious code; and (e) the Entry complies with all applicable laws and regulations. If the Entry includes third-party works, you must provide all required licenses and releases.

10.7 By submitting an Entry, you agree to release, discharge, and hold harmless the Competition Sponsor, Submittable, and their respective partners, affiliates, agents, employees, officers, and directors from any Loss arising from your participation in the Competition or the acceptance, use, misuse, or possession of any Award. Neither the Competition Sponsor nor Submittable assumes responsibility for technical errors, unauthorized access, alteration of entries, or any other failure beyond their reasonable control.

10.8 The Competition Sponsor reserves the right to cancel, modify, suspend, or terminate the Competition at any time, including closing the Competition without making any Awards, without liability to any Competitor.

10.9 THIS COMPETITION IS VOID WHERE PROHIBITED. This Competition is governed by the laws of the United States. Any disputes shall be resolved in U.S. courts, or through arbitration under the Commercial Dispute Resolution Procedures of the American Arbitration Association (AAA).

10.10 Entry into this Competition does not constitute entry into any other competition or program offered by the Competition Sponsor or its affiliates.

10.11 The names of Awardees will be posted on the Competition Sponsor’s website and social media channels for such period of time as the Competition Sponsor deems reasonable.

11. Award Agreement

Any Awardee will be required to enter into a separate award agreement with the Competition Sponsor, containing key terms and conditions beyond these RULES. The terms of each agreement will vary depending on the nature of the project and the receiving organization. Awards may be made in partnership with or through a donor advised fund (DAF) or other designated funding entity; in such cases, that entity will have final control and discretion over grant disbursement.

12. Data Protection

Applicant information, including personal data about affiliated individuals, will be collected, used, and disclosed by the Competition Sponsor and Submittable for purposes of administering this Competition. Applicants may request to review, rectify, or delete any personal data held by the Competition Sponsor or website host by emailing support@submittable.com during the course of the Competition or, after the Competition, at the address referenced in the applicable privacy policies.
